Terms & Conditions

Eligibility. The 14-day guarantee is available only to new clients engaging ReYield’s diagnostic workspace assessment for the first time, unless otherwise agreed in writing.

Scope of Assessment. The initial 14-day period covers a baseline Spatial Friction Score (SFS) assessment using environmental, spatial and behavioral data sources as set out in the onboarding brief.

Minimum Workspace Size. This offer applies to workplaces above 5,000 square feet. For smaller spaces, ReYield may propose a modified assessment and pricing; such modifications will be communicated in writing prior to engagement.

Data Cooperation. Client must provide timely access to required data streams (for example: badge access logs, Wi-Fi usage, room-booking data, environmental sensors and employee survey responses) to enable accurate SFS calculation.

Access Rights. Client agrees to permit ReYield personnel and approved third-party vendors to perform non-invasive scans and temporary sensor deployments where necessary for the diagnostic.

Baseline Score. ReYield will calculate and deliver a baseline SFS within the 14-day diagnostic window. That baseline constitutes the performance benchmark for the guarantee.

Definition of “Fix.” A “fix” constitutes (i) a measurable SFS improvement of at least fifteen percent (15%) from baseline, together with (ii) documented remediation of the principal friction drivers identified in the diagnostic report.

Improvement Window. The guarantee contemplates an additional optimization window of 14 days post-diagnosis for implementation of recommended micro-interventions and validation of SFS improvement.

Payment Obligation / No-Pay Clause. If ReYield fails to (a) deliver an SFS baseline within the 14-day diagnostic period, or (b) achieve the defined “fix” within the optimization window where Client has cooperated in good faith, then no fee shall be payable by Client for the diagnostic and optimization services covered by this guarantee.

Invoice Deferral. Fees attributable to the diagnostic and the optimization period will be invoiced only after the optimization window concludes and Client provides written confirmation of outcome, or after the parties confirm that the No-Pay Clause applies.

Client Responsibilities. Client shall (a) designate a single point of contact for the engagement, (b) ensure timely responses to ReYield requests, and (c) implement low-cost, low-disruption micro-interventions within agreed timeframes to facilitate measurement.

Refusal or Delay of Changes. If Client unreasonably refuses, delays, or fails to implement any intervention that ReYield has objectively identified as necessary to achieve the fix, ReYield shall be relieved of its payment waiver obligation, and Client shall remain responsible for fees pro rata to work performed.

Proof and Auditability. ReYield will provide time-stamped dashboards, heatmaps and measurement logs as evidence of baseline and post-intervention SFS. These records are the authoritative measurement used to determine compliance with the guarantee.

Exclusions. The guarantee excludes performance impacts attributable to organizational changes outside the scope of spatial interventions, including but not limited to headcount reductions, large-scale reorganizations, office relocations, pandemics, or other macroeconomic events materially affecting workforce behaviour.

Intellectual Property. The SFS methodology, scoring algorithms, dashboards, and any related tools remain the exclusive intellectual property of ReYield. Client shall not copy, reverse-engineer, distribute or otherwise exploit such IP except as expressly permitted under a separate written license.

Confidentiality and Data Protection. ReYield will process Client data in accordance with its Privacy Policy. ReYield will keep Client-provided data confidential and will not disclose identifiable client data to third parties except (i) with Client’s prior written consent, or (ii) to permitted subcontractors bound by confidentiality obligations.

Liability Cap. Except where prohibited by applicable law, ReYield’s aggregate liability arising out of or in connection with the guarantee shall not exceed the total fees paid by Client to ReYield for the diagnostic and optimization services subject to this guarantee.

Force Majeure. Neither party shall be liable for failure or delay caused by circumstances beyond its reasonable control, including acts of God, strikes, supply failures, internet outages, government actions, or other force majeure events.

Cancellation. Client may cancel participation in the guarantee program within three (3) calendar days of the diagnostic start date. In such event, ReYield may retain anonymized, aggregated, non-identifying data for research and product improvement purposes.

Publicity and Case Studies. ReYield may, subject to Client’s prior written consent, publish anonymized, aggregated case studies, heatmaps and outcome summaries. Any use of Client’s name or logo will require separate written permission.

Governing Law and Jurisdiction. These terms shall be governed by and construed in accordance with the laws of India. The parties submit to the exclusive jurisdiction of the courts of Mumbai, Maharashtra, India, for the resolution of any disputes arising out of or in connection with these terms.

Severability. If any provision of these terms is held to be invalid, illegal or unenforceable, the remaining provisions shall continue in full force and effect.

Entire Agreement. These terms, together with any mutually signed statement of work or order form, constitute the entire agreement between the parties regarding the subject matter and supersede all prior communications, proposals and representations.

Amendments. ReYield may amend these terms from time to time; any material change affecting existing Client engagements will be notified in writing and shall not be applied retroactively to already-executed guarantees without Client consent.

Review Recommendation. These terms are provided for general use. ReYield recommends that clients and ReYield obtain independent legal advice to ensure suitability for specific commercial arrangements.
